Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and IT Sales and Services Pty Ltd (ABN: XX XXX XXX XXX) ("ITSAS", "we", "us", or "our") governing your use of the Workflow Tracker platform and this marketing website.
By accessing or using Workflow Tracker, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
2. The Service
Workflow Tracker is a cloud-based IT workflow management platform designed for Managed Service Providers. The Service includes workflow creation, task tracking, PSA integration, team notifications, and administrative features as described in our product documentation.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice to active subscribers.
3. Account Registration and Trial
To use the Service, you must register for an account. You represent that all information provided during registration is accurate and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Free trials are provided for 30 days from account activation. At the end of the trial period, continued access requires a paid subscription. We reserve the right to modify trial period terms at any time.
4. Subscriptions and Payment
Paid subscriptions are billed on a per-user, per-month basis unless otherwise agreed. Annual subscriptions are billed upfront. All prices are in Australian Dollars (AUD) and are subject to GST for Australian customers.
Subscription fees are non-refundable except as required by Australian Consumer Law. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Upload or transmit malicious code or security exploits
- Attempt to gain unauthorised access to any part of the Service or its infrastructure
- Resell or sublicense access to the Service without written authorisation
- Use the Service to store, process, or transmit data in violation of applicable privacy laws
- Interfere with other users' access to or use of the Service
6. Data and Privacy
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of all data you input into the Service. We process your data solely to provide the Service and as described in the Privacy Policy.
You are responsible for ensuring that your use of the Service complies with applicable privacy laws, including obtaining any necessary consents for personal data entered into the platform.
7. Intellectual Property
The Workflow Tracker platform, including its software, design, features, and documentation, is owned by ITSAS and is protected by Australian and international intellectual property laws. These Terms do not grant you any rights to our intellectual property other than the limited licence to use the Service.
You retain all intellectual property rights in the data and content you upload to the Service.
8. Service Availability and Support
We aim to maintain high service availability but do not guarantee uninterrupted access. Planned maintenance will be notified in advance where reasonably practicable. Support is provided in accordance with the support tier included in your subscription plan.
9. Limitation of Liability
To the maximum extent permitted by Australian Consumer Law, ITSAS's total liability to you for any claim arising from or related to your use of the Service shall not exceed the total fees paid by you in the twelve months preceding the claim.
We are not liable for any indirect, incidental, special, or consequential losses, including loss of data, loss of revenue, or loss of business opportunity, arising from your use of the Service.
Nothing in these Terms excludes any guarantee, condition, or warranty implied by the Australian Consumer Law or other applicable legislation that cannot be excluded.
10. Termination
Either party may terminate the subscription at any time in accordance with the cancellation provisions in Section 4. We may suspend or terminate your account immediately if you breach these Terms, without liability to you.
Upon termination, your right to access the Service ceases immediately. We will retain your data for 30 days following termination, after which it may be permanently deleted.
11. Governing Law
These Terms are governed by the laws of Queensland, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia, unless mandatory consumer protection laws in your jurisdiction require otherwise.
12. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
